1Parties to this agreement
These Terms & Conditions govern the relationship between:
- Service provider: RaadWajeeh Digital, a digital agency based in the Netherlands.
- Client: any individual or business that engages RaadWajeeh Digital for services.
By commissioning a project or accepting a proposal, the client agrees to these terms in full. These terms apply to all services including website development, e-commerce, branding, hosting, social media management, and support.
2Services
RaadWajeeh Digital provides the following categories of service:
- Website design & development (static, WordPress, WooCommerce)
- E-commerce store setup and configuration
- Graphic design and brand identity
- Hosting and domain management
- Social media management
- Ongoing website support and maintenance
The specific scope, deliverables, timeline, and price for each engagement are confirmed in a written proposal before work begins. The proposal is the binding reference for what is included in the project.
3Project process & scope
All projects follow this process:
- Review: A free project review call or form submission to understand the client's goals.
- Proposal: A written proposal confirming scope, timeline, deliverables, and price. No work begins until this is accepted.
- Development: Work begins after receipt of the upfront payment and all required client materials.
- Review & revisions: The client reviews deliverables and requests revisions within the agreed round limit.
- Delivery: Final files, access credentials, and assets are handed over upon receipt of the final payment.
Any work requested beyond the confirmed scope constitutes a change request and will be quoted separately before proceeding.
4Payment terms
Standard payment structure
- 50% upfront — due before work begins, confirms the project and secures the timeline.
- 50% on delivery — due upon completion, before final files and access are transferred.
Other payment rules
- Invoices are due within 7 calendar days of issuance unless otherwise agreed in writing.
- For ongoing services (hosting, support, social media), invoices are issued monthly in advance.
- Payments are accepted via bank transfer (IBAN) or other methods agreed in the proposal.
- Late payments beyond 14 days may result in a pause of all active work until the balance is settled.
- All prices are in Euros (EUR) and exclude VAT where applicable under Dutch tax law.
No final deliverables, login credentials, domain transfers, or source files will be released until the full project balance has been received.
5Revisions & change requests
Each project package includes a defined number of revision rounds. A revision round is one consolidated set of feedback submitted after reviewing a deliverable.
- Revision rounds are specified in the project proposal.
- Revisions must be submitted in writing (email or message) within 7 days of receiving a deliverable for review.
- Feedback submitted after 7 days may be treated as a new request and quoted accordingly.
- Requests that alter the original scope (new pages, new features, new brand directions) are change requests and are quoted separately.
- Additional revision rounds beyond the included amount are billed at an agreed hourly or flat rate.
6Intellectual property & file ownership
What the client owns after full payment
- All final website files, source code, and design assets created specifically for the client's project.
- All logo files, brand identity materials, and exported graphics delivered as part of the project.
- Full ownership and control of the domain name (registered in the client's name) and hosting environment.
What RaadWajeeh Digital retains
- The right to display completed work in a portfolio, case study, or promotional material unless the client requests confidentiality in writing.
- Rights to any pre-existing tools, frameworks, code libraries, or templates used in the project (e.g., WordPress core, third-party plugins, open-source libraries). These remain under their respective licenses.
Intellectual property transfers only upon receipt of the final payment. Until that point, all work-in-progress remains the property of RaadWajeeh Digital.
7Client responsibilities
The client is responsible for:
- Providing all required content (text, images, logos, brand guidelines) by the agreed deadline.
- Ensuring that all materials provided do not infringe third-party intellectual property rights.
- Providing timely feedback during review stages. Delays caused by the client may shift the delivery timeline accordingly.
- Securing access credentials (admin passwords, FTP, domain login) after handover. RaadWajeeh Digital is not responsible for security incidents arising from the client's management of credentials after delivery.
- Backing up their own website and files once delivered. Ongoing backup is not included unless part of a hosting or maintenance plan.
8Confidentiality
Both parties agree to treat as confidential any non-public information shared during the course of the engagement, including business strategies, pricing, client data, and technical details.
- RaadWajeeh Digital will not share client confidential information with third parties without written consent.
- Confidentiality obligations do not apply to information that is already publicly known, independently developed, or required to be disclosed by law.
If the client requests that their project not be shown in the portfolio, this must be communicated in writing before project delivery. RaadWajeeh Digital will honour all such requests.
9Limitation of liability
RaadWajeeh Digital provides services in good faith and with professional care. However:
- We are not liable for indirect, consequential, or incidental losses including lost revenue, lost data, or lost business opportunities.
- Our total liability for any claim arising from a project is limited to the total amount paid by the client for that specific project.
- We are not responsible for downtime, data loss, or security issues caused by third-party hosting providers, plugins, or external services after project delivery.
- We are not responsible for performance issues caused by client modifications made after handover.
For ongoing hosting and maintenance clients, liability is limited to the value of the most recent monthly payment for that service.
10Termination
Termination by the client
- The client may cancel a project at any time by written notice.
- The upfront payment (50%) is non-refundable as it covers work already completed and time reserved.
- If the project is cancelled mid-way, a pro-rata payment may be invoiced for work completed beyond the scope covered by the upfront payment.
Termination by RaadWajeeh Digital
- We reserve the right to terminate a project if the client repeatedly misses payment deadlines, provides abusive communication, or requests work that is illegal or unethical.
- In such cases, payment is due for all work completed to date. Completed deliverables will be transferred upon receipt of that payment.
Ongoing services
Either party may terminate a recurring service (hosting, support, social media) with 30 days' written notice. No refund is issued for the current billing period.
11Governing law & disputes
These Terms & Conditions are governed by the laws of the Netherlands. Any dispute arising from or relating to these terms or a project engagement shall be subject to the exclusive jurisdiction of the competent Dutch courts.
Before initiating formal proceedings, both parties agree to attempt resolution through direct communication. The preferred first step is a written summary of the dispute sent to contact@raadwajeeh.com, with a response expected within 10 business days.
